1. ACCEPTANCE OF THE TERMS
By accessing or using PaySauce ("the Service") during its early access phase, you and your personnel that use the Service (“you” or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.
We may change these Terms at any time by updating them and notifying the updated Terms to you. By continuing to use and access the Service, you are deemed to agree to the updated Terms.
2. EARLY ACCESS NATURE
2.1. Trial Status: The Service is currently in early access/trial phase and is provided on an "as-is" and "as-available" basis for our testing, evaluation and feedback purposes. You acknowledge that the Service may not meet the level of performance of a fully commercially available service, and the Service requires your additional input, effort and verification.
2.2. No Warranty: The Service may contain bugs, errors, inaccuracies or other issues. Your access to, and use of, the Service is at your own risk. To the extent permitted by applicable law, we make no warranties or representations about the reliability, availability, or functionality of the Service during this early access period.
2.3. Service Charges: We reserve the right to modify, suspend, or discontinue the Service at any time without notice during the early access period.
3. USER ACCOUNTS AND OBLIGATIONS
3.1. Account Creation: Users must create an account to access the Service.
3.2. Provision of Information and Assistance: You agree to provide us with all requested information and do all things necessary for us to provide the Service. You are responsible for verifying and confirming any information and submissions within the Service. You consent to, and authorise, our disclosure of, your information to third parties in connection with the Service, including the Australian Tax Office or any other relevant tax or revenue authority.
3.3. Data Collection: By using the Service, you acknowledge that we may collect, use, disclose and store personal data as outlined in our Privacy Policy, which forms part of these Terms.
3.4. Data Security: While we implement reasonable security measures, you acknowledge that no system is completely secure, and you use the Service at your own risk regarding data security or loss.
3.5. Data Backup: Users are responsible for maintaining their own backups of any important data. We are not responsible for any data loss.
4. ACCEPTABLE USE
4.1. Permitted Use: The Service is provided solely for your internal business purposes, lawful purposes and for our testing, evaluation and feedback purposes. If you use the Service for your internal business purposes, you must verify and confirm all information before it is implemented.
4.2. Prohibited Activities: Users must not:
Use the Service for any illegal or unauthorised purpose;
i. Attempt to gain unauthorised access to the Service or related systems;
ii. Attempt to gain unauthorised access to the Service or related systems;
iii. Upload or transmit malicious code or content;
iv. Violate any applicable laws or regulations; or
v. Use the Service in any way that could harm, disable, or impair the Service,
5. INTELLECTUAL PROPERTY
5.1. Our Rights: All intellectual property rights in the Service remain our property or that of our licensors. You receive a non-exclusive, non-transferable, non-sublicensable, revocable and limited licence to use the Service in accordance with these Terms. You must not:
i. copy, modify, translate, or create derivative works of the Service,
ii. reverse engineer, decompile, disassemble or otherwise attempt to reconstruct, identify or discover any source code, underlying ideas, underlying user interface techniques, or algorithms of any part of the Service,
iii. lend, lease, offer for sale, sell or otherwise use any part of the Service for the benefit of any other third parties.
5.2. User Content: Users retain ownership of content they submit but grant us a licence to use such content for the purposes of providing and improving the Service.
6. LIMITATION OF LIABILITY
6.1. Disclaimer of warranties: The Service is provided “as is” and “as available”. We make no representations or warranties, express or implied, regarding the Service. For the avoidance of doubt, we make no representation that the Service will be uninterrupted, accurate or error free. To the fullest extent permitted under applicable law, we disclaim any implied or statutory warranty in respect of the Service, including any implied warranty of title, non-infringement, merchantability or fitness for a particular purpose. You use the Service entirely at your own risk and you acknowledge that the Service may contain defects, inaccuracies, errors, bugs and other issues. You must safeguard your data, use caution and not rely in any way on the correct functioning or performance of the Service.
6.2. Excluded Damages: To the fullest extent permitted by applicable law, we are not liable to you or any person or entity for:
i. any indirect, incidental, special, consequential, or punitive damages;
ii. any direct or indirect loss of profits, revenue, income, data, or business opportunities.;
iii. any amounts payable to any third party, or
iv. any penalty, interest or other liability that results from inaccurate or incomplete information you provide.
6.3. Maximum Liability: To the fullest extent permitted by applicable law, our total liability to you or any other person or entity for any claims arising from or related to the Service or these Terms shall not exceed AUD$100.
6.4. Liability Limitation: To the extent we are found liable for a breach of any consumer guarantee in respect of the Service, to the fullest extent permitted by applicable law, our liability is limited to us re-supplying the Service.
7. INDEMNIFICATION
You hereby indemnify us and hold us harmless from any claims, damages, or expenses arising from your use of the Service, or breach of these Terms or violation of any applicable laws or regulations in connection with the Service.
8. PRIVACY AND DATA PROTECTION
8.1. Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy, available at https://www.paysauce.com/privacy-policy.
8.2. Data Retention: We may retain data in accordance with applicable laws, including for testing and improvement purposes.
9. TERMINATION
9.1. Termination by Us: We may terminate or suspend access to the Service at any time, with or without cause or notice.
9.2. Effect of Termination: Upon termination, your right to use the Service ceases immediately, and we may delete your account and associated data.
10. FEEDBACK AND IMPROVEMENTS
10.1. Feedback: You agree to provide feedback, analysis, suggestions, enhancements, requests, comments and recommendations about the Service during the early access period. We may contact you and you agree to make available a reasonable amount of time to discuss the Service.
10.2. Use of Feedback: Any feedback provided may be used by us to improve the Service without compensation to you. You agree that we own exclusively all right, title and interest in and to such feedback or any derivative of it.
10.3. Promotion: Subject to clause 11.6, you are permitted to promote us and our Service, and refer third parties to our Service. You must not do or say anything that will bring us into disrepute.
11. GENERAL PROVISIONS
11.1. Governing Law: These Terms are governed by the laws of Victoria, Australia.
11.2. Dispute Resolution: Any disputes shall be resolved in the courts of Victoria, Australia.
11.3. Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to render it enforceable and the remaining provisions shall remain in full force and effect.
11.4. Entire Agreement: These Terms, including the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
11.5. Updates: We reserve the right to update these Terms at any time by notifying them to you in writing.
11.6. Confidentiality: In providing the Service, we may from time to time disclose to you confidential and proprietary information. You must keep such information confidential and must not, without our prior written consent, disclose such information to any third party or use such information for any purpose outside the scope of these Terms.
11.7. No Assignment: You may not assign your rights under these Terms without our prior written consent.
